Effective April 14, 2026
Tribun Health Bundle Terms and Conditions:
Customer’s, including its User’s, access and use of the Tribun Health Bundle products are subject to and governed by the Underlying Agreement (as defined below) as modified by these Tribun Health Bundle Terms and Conditions (collectively, the “Terms and Conditions”). The Underlying Agreement, as amended by these Terms and Conditions, shall be referred to herein as the Agreement.
Definitions.
“Affiliates” means (A) “Affiliates” as defined under the Underlying Agreement; or (B) if there is no existing agreement between Hyland and Customer that contains such term, any entity controlling, controlled by, under common control with, or having a common parent with Customer, provided such Affiliate has rights to use the Software licensed to Customer.
“EULA” means the Tribun Health End-User License Agreement available at https://www.tribun.health/hubfs/EULA/COM_EN_GeneralSalesConditions_v6_FINAL.pdf, and the Tribun Health AI Module Terms of Use available at https://www.tribun.health/hubfs/EULA/AiModulesLicenseofUse_2025%20FINAL.pdf.
“Incorporating Document” means Customer’s purchase agreement, schedule, ordering document or purchase order with Hyland or its authorized partner which refers to these Terms and Conditions, under which Customer has purchased the Product, which includes the Product Subscription and pricing.
“Product” or “Products” means the Tribun Health Bundle software products included on the Incorporating Document, as applicable.
“Product Subscription” means a subscription to the Tribun Health Bundle.
“Support” means (A) if Customer receives support directly from Hyland, (i) “Support” or “Maintenance and Support” or “Success Path Services” or similar services if those services are provided under the Underlying Agreement between Hyland and Customer; or (ii) if there is no such existing agreement between Hyland and Customer, the services provided by Hyland in accordance with the terms set forth at https://legal.hyland.com/software-maintenance-and-support-terms; or (B) if Customer receives support from a Hyland authorized partner, “Support” or “Maintenance and Support”, as described and provided by Hyland’s authorized partner pursuant to the terms of an existing agreement between Customer and Hyland’s authorized partner.
Professional Services means (A) “Professional Services” if those services are provided under the Underlying Agreement; or (B) if there is no existing agreement between Hyland and Customer that contains such term, professional services means the installation, consulting, implementation, customization, or integration services; project management; managed services; or other professional services provided under a Services Proposal or Order Form.
“Tribun Health” means Tribun Health, S.A.S.
“Underlying Agreement” means that certain separate contract that governs the licenses to the Software previously procured by the Customer (such as an End User License Agreement (click through or written), Master Software License, Services and Support Agreement, Software License and Services Agreement or other similar agreement addressing Software license terms).
“User” shall mean the Customer and Affiliates’ employees and contractors who use the Product(s) in a manner contemplated by these Terms and Conditions.
1. Software License.
Subject to Customer’s payment of all applicable fees, the license for the Products resold under this Agreement will be governed by the EULA by and between Customer and Tribun Health. For the avoidance of doubt, except for the licensing provisions applicable to the Product and any upgrades and enhancements, error fixes and patching to the Products, which are governed exclusively by the EULA, the Underlying Agreement shall continue to govern all other aspects of the Product.
2. Disclaimer.
Except with respect to Professional Services and the Support obligations set forth herein, the parties acknowledge and agree that Customer shall have no recourse against Hyland and shall seek all remedies, claims, and relief exclusively from Tribun Health with respect to any and all obligations, liabilities, or rights arising out of or relating to the Product(s) in accordance with the EULA.
3. Term and Termination.
The Products shall be provided during the term of the Product Subscription, subject to any early termination rights set forth in the Incorporating Document. These Terms and Conditions will be in effect during the term of the Product Subscription and any renewal thereof pursuant to the terms of the Incorporating Document.
Upon expiration or termination of the Product Subscription, and therefore these Terms and Conditions, Customer shall immediately discontinue all use of the applicable Products and follow any and all instructions in accordance with the EULA. Upon termination of any Products, Hyland shall have no further obligation to make the applicable Products available to Customer.
4. Support.
Notwithstanding anything to the contrary herein and subject to Customer’s payment of applicable fees, Hyland shall provide Support for the Products to Customer during the term of the Product Subscription. Notwithstanding the foregoing or anything to the contrary in the Agreement, Customer acknowledges that Tribun Health is the developer of the Product, that the availability and timing of patches, fixes or upgrades is subject to Tribun Health’s development, release and support lifecycle policies, and that Hyland has no ability or obligation to create or substitute any such updates, patches, fixes or upgrades.
5. Professional Services
Notwithstanding anything to the contrary in the Underlying Agreement, Hyland may subcontract all or any part of the Professional Services to any third party.
The most current version of this document shall be such in effect as of 12:00am EST (Eastern Standard Time) of the date stamped on such online version.
